U.S. Wireless Online Files Form 12b-25 Notification of Late Filing

U.S. Wireless Online, Inc. (OTC Bulletin Board: UWRL) (website: http://www.uswirelessonline.com), which owns and operates one of the nation's largest commercial-grade fixed wireless Internet broadband networks, today announced that the Company has filed SEC Form 12b-25 Notification of Late Filing.

In 2005 the Company completed nine acquisitions amassing a fixed wireless broadband network with multiple points of presence in Florida, Mississippi, Alabama, Louisiana, Tennessee, Arkansas, Kentucky, Pennsylvania, Ohio and Indiana. As a result of the number of transactions and the related challenges associated with consolidating and integrating the various businesses, the Company will require additional time to complete the preparation and filing of its annual report on SEC Form 10KSB.

In addition, the Company is in the process of restructuring its internal operations which may result in the divestiture of certain business units that contributed to the Company's quarterly operating losses in 2005. The Company is also pursuing additional financing and other strategic alternatives, but cannot guarantee that these initiatives will be successful. The Company remains optimistic about the future of its core business and the emerging wireless broadband industry and will provide additional information as these initiatives develop.
